Brampton Chase POS Installation & Rebate Agreement
Terms & Conditions
1. Purpose
This Agreement outlines the terms under which Brampton Chase (“the Company”) will provide a retrospective rebate to the Partner relating to Brampton Chase flooring sales, based on agreed performance targets within a specified timeframe.
2. Agreement Scope
This Agreement applies only to the named Partner and may not be transferred or assigned to any other party.
Eligible flooring ranges include:
- Classics
- Studio Designs
- Metro
- Stones
- Stones Ultra
- Stones Marble
Accessories are excluded unless otherwise agreed in writing.
3. Rebate Structure
A retrospective rebate, based on an agreed percentage, value or sales volume target, will be calculated against qualifying turnover achieved during the agreed rebate period.
Rebate agreements for new customer accounts may commence immediately from the agreed start date. Rebate agreements for existing customer accounts will commence from the 1st day of the following calendar month unless otherwise agreed in writing.
4. Qualifying Sales
- All turnover targets are calculated net of VAT, discounts, returns and credits.
- Only purchases made at standard Brampton Chase pricing qualify unless otherwise agreed in writing.
- The Company reserves the right to exclude special pricing, promotional orders or non-standard quotations from rebate calculations.
- Any credits raised after the rebate period relating to invoices within that period may result in the rebate being adjusted accordingly. Any rebate overpayment may be reclaimed by the Company.
5. Payment Terms
- Rebates will only be issued at the end of the agreed rebate period or upon achievement of agreed targets.
- All invoices relating to the agreement period must be paid in full, and the account maintained within agreed credit terms, before any rebate is approved.
- Rebates may be issued either as a credit on account or paid directly into the named Partner’s business bank account.
- Approved rebates will normally be processed within 28 days of target achievement or agreement expiry.
6. Partner Obligations
The Partner agrees to:
- Display Brampton Chase POS and merchandising prominently and in good condition where applicable.
- Actively promote Brampton Chase products throughout the agreement period.
- Maintain agreed display standards and avoid significant alteration or removal of POS without prior approval.
- Keep all terms of this Agreement confidential between the parties.
7. Company Obligations
The Company agrees to:
- Supply agreed POS merchandising materials within a reasonable timeframe.
- Provide reasonable marketing and sales support during the agreement period.
- Calculate and process qualifying rebates promptly upon completion of the agreement terms.
8. Term & Termination
This Agreement remains valid for the agreed period specified between the Company and the Partner.
Either party may terminate the Agreement by providing 30 days’ written notice.
If the Partner terminates the Agreement before the expiry date, any accrued or anticipated rebate relating to the agreement period will be forfeited.
The Company reserves the right to terminate the Agreement immediately where, including but not limited to:
- Agreed POS is removed or significantly altered
- Credit terms are breached
- Significant business ownership or operational changes occur
- The Agreement terms are breached
In the event of early termination, no further rebate will be payable.
9. Pricing
Brampton Chase prices remain subject to change during the agreement period.
10. Stand Installation Terms
In the event that a scheduled POS stand installation is cancelled, postponed or unable to proceed at short notice by the client/recipient, or due to circumstances outside of the Company’s control, Brampton Chase reserves the right to charge a cancellation or re-booking fee of £350 to cover incurred installation costs.
This includes, but is not limited to:
- Site access not being available
- The installation area not being prepared or ready
- Short-notice cancellation or postponement by the Partner
- Any failed installation visit not caused by the Company or its contractors
Any applicable cancellation or re-booking charges will be invoiced directly to the Partner.
Brampton Chase reserves the right to cancel, postpone or rearrange installation dates at its discretion and without liability for compensation, charges or consequential costs.

12. General Provisions
- This Agreement is subject to Brampton Chase standard trading terms and conditions.
- Any amendments must be agreed in writing by both parties.
- This document represents the full agreement between the parties and supersedes any previous discussions or agreements relating to rebates.
- Only one rebate agreement may apply to a customer within any single time period. In any instance where multiple rebate agreements are active or overlap, the most recently agreed rebate arrangement shall take precedence and automatically render all previous rebate agreements void, with no rebate or payment due under any superseded agreement.
