Terms and Conditions

1. Purpose

This Agreement outlines the terms and conditions under which the Company will provide a rebate to the Partner for the cost of the Brampton Chase Point of Sale (POS) merchandising stand/display, based on sales performance within a specified timeframe.

2. Rebate Structure

The rebate will be calculated as follows:

  • Eligibility:

The Partner must purchase and display the Brampton Chase POS merchandising stand/display as provided by the Company.

  • Rebate Calculation:

The total cost of the POS merchandising stand/display will be rebated at the rate of £1 per square meter of Brampton Chase products sold by the Partner within a 15-month timeframe from the delivery date of the stand. The total rebate amount will not exceed the original cost of the stand/display.

  • Target Achievement:

The rebate will be paid in full upon the Partner achieving the sales target (stand cost rebated at £1 per m²).

No rebate will be due if the Partner does not achieve the target within the agreed 15-month timeframe.

3. Payment Terms

  • Rebates will be issued as a credit note for future purchases.
  • The rebate will only be issued upon confirmation that the sales target (stand cost rebated at £1 per m²) has been met within the agreed timeframe.
  • The customer account must be performing within credit terms before any credit note is sanctioned. 

4. Partner Obligations

The Partner agrees to:

  • Display the Brampton Chase POS merchandising stand/display prominently in their retail space.
  • Actively promote Brampton Chase products to maximise sales.

5. Company Obligations

The Company agrees to:

  • Deliver the Brampton Chase POS merchandising stand/display to the Partner in a timely manner.
  • Provide marketing support and guidance to help the Partner achieve sales targets.
  • Calculate and issue the rebate promptly upon confirmation of target achievement.

6. Term and Termination

  • Term: This Agreement will remain in effect for 15 months from the date of delivery of the POS stand/display.
  • Termination: Either party may terminate this Agreement with 30 days’ written notice. In the event of early termination, no rebate will be due if the target has not been achieved.

7. General Provisions

  • Standard Terms and Conditions: By signing the Agreement, the Partner acknowledges and agrees to Brampton Chase’s standard terms and conditions, which are incorporated herein by reference.
  • Amendments: This Agreement may only be amended in writing and signed by both parties.
  • Entire Agreement: This document represents the entire agreement between the parties regarding rebates for the Brampton Chase POS merchandising stand/display and supersedes all prior agreements.
